Acceptance of terms
These terms are an agreement between you and [legal company name] (“ORQO”). By using the platform or creating an account, you agree to them. If you use ORQO on behalf of a company, you confirm that you have the authority to bind it to these terms.
Account and workspaces
- Workspaces belong to a single organization, and the organization owner is responsible for the subscription, billing, and members.
- You are responsible for the accuracy of your account data, for protecting your login credentials, and for everything done through your account and your team members’ accounts.
- Notify us immediately if you suspect unauthorized use of your account.
Plans and billing
- The free plan is available without a credit card, with lower usage limits.
- Paid plans are monthly or yearly, paid in advance through an external payment gateway, and renew automatically until you cancel.
- Some plans may include a free trial period as shown at sign-up.
- On cancellation the subscription continues until the end of the paid period, then your account returns to the free plan.
- Prices exclude taxes unless stated otherwise. We may change prices with advance notice before the next renewal.
- Refund policy: [define the refund policy]
Usage limits
Every plan has limits, such as the number of members, monthly WhatsApp messages, contacts, campaigns, and AI credits. Limits are counted per organization. When a limit is reached, no more of that item can be created until the new month starts or the plan is upgraded.
Meta and WhatsApp channels
- ORQO is registered as a Meta Tech Provider, and connects your accounts through Meta’s official APIs.
- Your use of WhatsApp, Instagram and Messenger is also governed by Meta’s terms, including the WhatsApp Business Policy and the Commerce Policy.
- Message templates are subject to Meta’s approval, and Meta may reject a template or restrict a number or account according to its policies. ORQO is not responsible for Meta’s decisions.
- Meta’s conversation fees are separate from the ORQO subscription. [Confirm how they are calculated and paid]
Campaigns and marketing messages
- Do not send marketing messages except to those who consented to receive them from you.
- Respect opt-out requests. ORQO automatically excludes unsubscribers from subsequent campaigns.
- Using the platform to send annoying or misleading messages, or to lists of numbers obtained without permission, is prohibited.
- You are responsible for your messages complying with consumer protection and marketing laws in your country and your customers’ countries.
Artificial intelligence
- The AI agent operates according to the instructions and knowledge sources you define, and its replies may sometimes be inaccurate.
- You are responsible for reviewing the agent’s settings and knowledge content, and for the rules that hand conversations to your team.
- Do not rely on the AI agent for binding medical diagnoses, or legal or financial advice, or for decisions with a material effect on people without human review.
- The agent consumes your plan’s AI credits.
Acceptable use
ORQO must not be used for:
- Any unlawful activity, or fraudulent or abusive content, or content that infringes others’ rights.
- Impersonating a person or entity, or collecting data without a legal basis.
- Attempting to hack or disrupt the platform, circumvent usage limits, or resell the service without a written agreement.
- Selling products or services prohibited by Meta’s policies.
Your data and ownership
Your data and your customers’ data remain yours. You grant ORQO a limited permission to process it as needed to provide the service, according to the privacy policy. You can export or delete your data at any time.
Integrations and API
- External services you connect, such as Shopify, Google and n8n, are governed by their own terms.
- API keys are confidential; you are responsible for protecting them and for every request made with them.
- We may apply rate limits, and suspend keys used in a way that harms the platform.
ORQO’s property
The platform, its design, logo, and software belong to ORQO. These terms grant you no right in them beyond using the service during your subscription. If you share suggestions with us, we may use them to improve the product without obligation to you.
Availability and support
We aim for the platform to run continuously, but outages or maintenance may occur. The support level varies by plan, and the service level agreement (SLA) of the Business plan defines its commitments. [Attach the SLA terms]
Suspension and termination
- You can cancel your subscription or delete your account at any time.
- We may suspend or terminate an account if it violates these terms or Meta’s policies, or if payments are overdue, with notice where possible.
- After termination we delete data according to the periods in the privacy policy.
Limitation of liability
The service is provided “as is”. To the extent permitted by law, ORQO is not liable for indirect damages or loss of profits or data, and its total liability does not exceed [the amount paid in the last 12 months]. You agree to indemnify ORQO against any claim arising from your message content or your breach of these terms.
Governing law
These terms are governed by the laws of [country], and the courts of [city] have jurisdiction over any dispute arising from them.
Changes and contact
We may update these terms, and we will notify you before any material change takes effect. Your continued use after that means your acceptance. For any question: hello@orqo.site.
